Terms of Service

1. Acceptance of Terms

By accessing or using the Quorum website at tryquorum.app and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's consent to use the Service.

3. Accounts

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

5. User Content

You retain ownership of any content you submit to the Service (such as degree plans and course selections). By submitting content, you grant Quorum a worldwide, royalty-free, irrevocable, perpetual, non-exclusive, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from that content for any purpose, including but not limited to operating, improving, and promoting the Service, conducting research and analytics, and sharing with educational institutions.

You acknowledge that Quorum may share your content and account information, including personally identifiable data, with universities, colleges, and other educational institutions for purposes such as academic advising, enrollment verification, institutional research, and analytics.

You agree that Quorum retains full and unrestricted discretion over how your data and content are collected, processed, stored, shared, sold, licensed, and otherwise used. For more information, see our Privacy Policy.

You represent that you have the right to submit any content you provide and that it does not violate the rights of any third party.

6. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are owned by Quorum and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or resources. We are not responsible for the availability, content, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Quorum does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Academic information provided through the Service is for planning purposes only and should not be treated as official academic advice. Always verify requirements with your institution.

9. Limitation of Liability

To the maximum extent permitted by law, Quorum and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.

In no event shall our total liability exceed the amount you have paid to Quorum, if any, in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Quorum and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to the licenses you have granted, our rights to your data and content, data retention, limitation of liability, and indemnification.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.
